Premier Safety Clothing & Equipment Limited is dedicated to conducting business ethically and transparently, refraining from engaging in corrupt practices or bribery to gain unfair advantages. No member of the company shall engage in, solicit, or accept any form of gift, payment, or benefit from any individual or organisation in exchange for improper business advantages.

This policy is applicable to all individuals across all levels and positions, encompassingsenior management, directors, employees or any other individuals affiliated with us.

This policy aims to ensure that everyone understands their responsibilities towards the company, including reporting and aiding in the prevention of any instances of bribery within the organisation.

This policy aims to outline the company's obligations, as well as the duties of our employees, in adhering to and promoting our stance against bribery and corruption. Additionally, it seeks to furnish information and guidance to our employees on identifying and addressing issues related to bribery and corruption. In this policy, "third parties" refers to any individual or organisation encountered during the execution of your duties for us. This encompasses customers, existing and prospective clients, suppliers, distributors, business associates, consultants, agents as well as government and public entities, along with their representatives, advisors, officials and any political organisations.

Regardless of whom we engage with or where we conduct business, our commitment remains unwavering: to operate in accordance with the law, uphold ethical standards, and maintain integrity. Within this policy, we categorically condemn all acts of bribery and corruption, refusing to condone such behaviour under any circumstances and this will not be tolerated. It is imperative that neither ourselves nor any third party acting on our behalf does not engage in corrupt practices when interacting with others and we are dedicated to establishing and enforcing efficient systems to combat bribery.

We strictly forbid all types of bribery and corruption, with zero tolerance for such acts. Any violation of this policy may lead to disciplinary measures, potentially culminating in dismissal. It is crucial to note that bribery encompasses not only the actual exchange of bribes but also the promise or agreement to give or receive them, even if the exchange doesn't occur. This prohibition applies universally, whether dealing with individuals from the public or private sector.

A bribe refers to any motive or benefit promised, offered or provided with the intention of gaining a commercial or personal advantage. The Bribery Act 2010 outlines two broad offenses: "active" bribery involves offering, promising, or giving a bribe, while "passive" bribery involves requesting, agreeing to receive, or accepting a bribe. The consequences for the company are significant which can have irreparable damage to our reputation. Consequently, it is imperative that everyone adheres to the procedures established by the company to prevent individuals associated with us from engaging in acts of bribery and corruption.

It is prohibited for any individual representing the company to engage in any form of bribery or corruption, including:

Offering, promising, or providing a payment, gift, or hospitality with the anticipation of receiving a financial or other advantage (such as a commercial or regulatory benefit), or as a reward for a previously granted business advantage.

Offering, promising, or providing a payment, gift, or hospitality to a government official, representative or agent.

Accepting a payment from a third party with the knowledge or suspicion that it is offered in exchange for obtaining a financial or other advantage (such as a commercial or regulatory benefit).

Accepting a gift or hospitality from a third party with the knowledge or suspicion that it is offered with the expectation of receiving a financial or other advantage (such as a commercial or regulatory benefit) from the company in return.

Kickbacks and reciprocal agreements are unequivocally unacceptable.

We will never engage in offering or accepting facilitation or any other improper payments to acquire new business, maintain current business, or gain any improper advantage.

You should promptly inform the Managing Director if you suspect or believe that a conflict with this policy has occurred or may arise in the future. For instance, if a third party, client, or potential client offers something to gain an advantage with the company or suggests that a gift or payment is necessary to secure their business. It is encouraged to raise concerns promptly. If unsure whether an action constitutes bribery or corruption this should be consulted with the Managing Director. It is vital to inform the Managing Director promptly if offered a bribe by a third party, asked to give one, or suspect this potentially could happen in the future.

The Managing Director bears the duty of guaranteeing adherence to this policy across all business operations. The Directors assume ultimate accountability for upholding this policy across Premier Safety Clothing & Equipment Limited. Nonetheless, each individual is obligated to uphold integrity and ensure comprehension and compliance with the policy. Relevant training will be offered to employees to assist them in fulfilling their obligations.

This policy will be communicated to all employees to promote both their involvement and commitment.
